1. Eligibility

You must be at least 18 years old and capable of forming a legally binding agreement to use Kelsey.

If you are using Kelsey on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to provide accurate and complete information when creating an account.

You must notify us immediately if you suspect unauthorized access to your account.

3. Kelsey Services

Kelsey provides software tools designed to help businesses understand and improve their presence in AI-powered search experiences, monitor Mention Scores, analyze competitive insights, and provide recommendations based on available data sources.

Kelsey may add, modify, or discontinue features at any time.

4. Google Integrations

Kelsey allows users to connect third-party services, including Google Analytics.

If you authorize Kelsey to access your Google Analytics account, you grant Kelsey permission to access your Google Analytics data solely for the purpose of providing the Services.

Kelsey requests read-only access and does not modify your Google Analytics properties or settings.

You may revoke access to connected integrations at any time through your third-party account settings.

5. Subscription Plans and Billing

Certain features of Kelsey require a paid subscription.

By subscribing to a paid plan, you authorize Kelsey and its payment processors to charge applicable fees to your selected payment method.

Subscriptions automatically renew unless canceled before the next billing cycle.

Fees are non-refundable except as required by applicable law.

Kelsey reserves the right to modify pricing with reasonable notice.

6. Acceptable Use

You agree not to:

• Use Kelsey in violation of applicable laws or regulations
• Attempt to gain unauthorized access to Kelsey systems or other users' accounts
• Interfere with or disrupt the operation of the Services
• Reverse engineer, decompile, or attempt to extract source code from Kelsey
• Use the Services to transmit malicious software or harmful content
• Resell, sublicense, or commercially exploit Kelsey without authorization

7. User Content and Data

You retain ownership of any information, content, or data you submit to Kelsey.

You grant Kelsey a limited license to use such information solely to provide, improve, and maintain the Services.

You represent that you have the rights necessary to provide any content or data submitted through Kelsey.

8. Intellectual Property

Kelsey and its content, software, trademarks, branding, and related materials are owned by Kelsey and protected by applicable intellectual property laws.

These Terms do not grant you ownership rights in Kelsey.

9. Disclaimer of Warranties

Kelsey is provided on an "AS IS" and "AS AVAILABLE" basis.

To the maximum extent permitted by law, Kelsey disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Kelsey does not guarantee uninterrupted service, accuracy of results, or specific business outcomes.

10. Limitation of Liability

To the fullest extent permitted by law, Kelsey and its affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from your use of the Services.

Kelsey's total liability for claims arising from the Services shall not exceed the amount paid by you to Kelsey during the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Kelsey, its officers, employees, affiliates, and agents from claims, damages, liabilities, costs, and expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of applicable laws or third-party rights

12. Termination

You may stop using Kelsey at any time.

Kelsey may suspend or terminate your access to the Services if you violate these Terms or if necessary to protect Kelsey, its users, or third parties.

Upon termination, provisions relating to intellectual property, disclaimers, limitations of liability, and indemnification shall survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in California.

14. Changes to These Terms

Kelsey may update these Terms from time to time.

If material changes are made, we will update the Effective Date above.

Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
